Please read these Terms carefully before using our Website or App. By accessing, browsing, or registering for an account, you agree to be bound by these Terms. If you do not agree, you must immediately cease using our services.

1. ELIGIBILITY & USER ACCOUNTS

1.1 Age Requirement: You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account, register, make pre-orders, or input any information into our App.

1.2 Account Security: When creating an account, you agree to provide accurate, current, and complete information. You are solely responsible for safeguarding your account credentials (password and username) and for all activities that occur under your account.

1.3 Parental Representation: By entering data regarding an infant or child, you represent and warrant that you are the parent or legal guardian of that child, or have explicit legal authority from the parent/guardian to log their data.

2. IMPORTANT MEDICAL & WELLNESS DISCLAIMER (NOT A MEDICAL DEVICE)

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR LIABILITY FOR HEALTH-RELATED INFORMATION.

2.1 Informational and Wellness Purpose Only: Oodi is a manual data-logging and analytical wellness companion tool designed to help parents record infant crying and sleep patterns to replace subjective memory bias with objective longitudinal tracking.

2.2 Not Medical Advice: Neither the App, the Website, nor any reports, insights, curves, or communications generated by Oodi constitute medical advice, medical diagnosis, clinical assessments, or treatment recommendations.

2.3 No Medical Device Status: The App is not a medical device. It does not monitor vital signs, predict medical emergencies, diagnose infant colic, reflux, or other clinical conditions, and should not be used as a substitute for professional clinical judgment.

2.4 Seek Professional Care: Always consult with a qualified healthcare professional (such as your pediatrician, General Practitioner (GP), health visitor, or NHS 111 service) if you are concerned about your baby’s health, crying duration, sleep patterns, or general development. Never delay or disregard professional medical advice because of information or charts you have viewed in Oodi.

2.5 User Data Accuracy: The insights, graphs, and statistics provided by Oodi are generated entirely based on the data you manually log. We do not verify the accuracy of the logs you enter and are not responsible for any skewed analytics resulting from incomplete or inaccurate inputs.

3. PRE-LAUNCH BOOKINGS, BETA TESTING, & PAYMENTS

Oodio Oy may offer early-stage access, beta versions, or pre-order reservations on our Website.

3.1 Pre-Order Deposits (£5 / €5): Pre-ordering Oodi reserves your priority access slot for the official launch. Pre-order deposits are refundable upon request at any time prior to the official commercial release of the App in your regional app store.

3.2 Beta Program Bookings (£30 / €30): Booking a beta slot grants you early, limited access to the test versions of the App (“Beta App”) and lifetime discount benefits as specified on the Website. 3.3 Payment Processing: All payments made on the Website are securely processed through third-party payment gateways (such as Stripe). Oodio Oy does not store or process your credit card numbers directly.

3.4 “As-Is” Beta Software Disclaimer: The Beta App is a work-in-progress and is provided on an “as-is” and “as-available” basis. It may contain bugs, errors, and system interruptions. By participating in our Beta Program, you acknowledge and agree that your participation is voluntary and at your own risk. Oodio Oy is not liable for data loss, app crashes, or service disruptions during the beta testing phase.

3.5 Refunds for Beta bookings: Unless required by applicable consumer protection laws, bookings for active Beta Program slots are non-refundable once access to the Beta App has been initiated.

4. INTELLECTUAL PROPERTY RIGHTS

4.1 Ownership: All content, software code, databases, designs, logos, trademarks, text, infographics, clinical briefs, and scientific marketing materials on the Website and within the App (including our proprietary frameworks regarding unideprivation and parent recall bias) are the exclusive property of Oodio Oy or our licensors. They are protected by Finnish and international copyright, trademark, and intellectual property laws.

4.2 Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App and Website solely for your personal, non-commercial use on compatible personal devices. 4.3 Restrictions: You agree not to copy, modify, distribute, sell, reverse-engineer, decompile, or extract source code from our App or Website without our prior, explicit written consent.

5. USER CONDUCT & PROHIBITED USES

You agree to use our Website and App only for lawful purposes. You shall not: Use the App to log false, malicious, or deceptive data.
Interfere with, disrupt, or compromise the security and integrity of our servers, networks, or databases.
Attempt to bypass any API security layers or access controls.
Use automated bots, scrapers, or scripts to harvest data from our Website or App.

6. LIMITATION OF LIABILITY

6.1 Disclaimer of Warranties: To the maximum extent permitted by applicable law, Oodi is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or entirely secure.

6.2 Excluded Damages: Under no circumstances shall Oodio Oy, its founders, employees, or partners be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of or in connection with: Your use of or inability to use the App or Website; Any physical or mental distress, sleep deprivation, or anxiety associated with parenting or infant care; Your reliance on any charts, data, or scientific concepts presented in the App or Website; Unauthorized access to or alteration of your transmissions or data.

6.3 Liability Cap: To the maximum extent permitted by the laws of Finland and consumer laws in your jurisdiction, Oodio Oy’s total liability for any claim arising out of these Terms shall be capped at the total amount actually paid by you to Oodio Oy during the twelve (12) months preceding the event giving rise to the claim.

7. GOVERNING LAW & JURISDICTION

7.1 Governing Law: These Terms, and any disputes arising out of or relating to them, shall be governed by and construed in accordance with the laws of Finland, without regard to conflict of law principles.

7.2 Dispute Resolution: If you are a consumer residing in the European Union or the UK, you may have the right to bring a claim in your local consumer courts or utilize official out-of-court dispute resolution channels (such as the Finnish Consumer Disputes Board / Kuluttajariitalautakunta). Otherwise, any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the District Court of Oulu, Finland (Oulun käräjäoikeus).

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our Website or via an in-app notification. Your continued use of Oodi after such changes take effect constitutes your acceptance of the revised Terms.
